1Acceptance of Terms

By accessing, browsing, or using the Site, or by signing a contract with BrightForge for remodeling services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You represent that you are at least 18 years of age and legally capable of entering into binding contracts. If you are using the Site on behalf of a business or another person, you represent that you have authority to bind that entity to these Terms.

2Services Description

BrightForge provides residential remodeling services in Southeast Michigan, including but not limited to:

• Kitchen remodeling, including cabinetry, countertops, tile, and appliance installation
• Bathroom remodeling, including showers, tubs, vanities, and waterproofing
• Basement finishing, including egress windows, moisture management, and habitable space construction
• Permitting and inspection coordination with local municipalities
• Design consultation and 3D rendering services

Detailed descriptions of our services, pricing ranges, and typical timelines are available on our individual service pages. All services are subject to availability and are performed by our in-house crews or by licensed trade partners working under our supervision.

3Estimates & Proposals

We provide two types of pricing documents:

Estimates

Estimates are ballpark pricing ranges provided during initial conversations or site visits. Estimates are non-binding and are not guaranteed. They are intended to help you plan your project and decide whether to proceed to a formal proposal.

Fixed Proposals

Formal proposals are line-item documents that itemize labor, materials, permits, and project management. Once you sign a proposal and pay the deposit, the price is fixed. The price will only change if you request a change to the scope of work (see Section 5: Change Orders).

Proposals are valid for 30 days from the date of issuance. After 30 days, material and labor pricing may be re-quoted due to market fluctuations.

4Payments & Deposits

Our standard payment schedule is:

1. 30% deposit due at contract signing, covering materials ordering and permit filing
2. 30% progress payment due when rough-in work is complete and inspected
3. 30% progress payment due when finishes are substantially complete
4. 10% final payment due 7 days after your signed handoff on the punch list

Accepted Payment Methods

• Check (no processing fee)
• ACH bank transfer (no processing fee)
• Credit card (2.9% processing fee passed through at cost)

Late Payments

Payments not received within 7 days of invoice due date may be subject to a 1.5% monthly late fee. We reserve the right to pause work on projects with overdue invoices exceeding 14 days.

5Change Orders

Any change to the approved scope of work must be documented through a written change order signed by both parties before the work begins. Change orders will include:

• Description of the change requested
• Additional cost or credit amount
• Impact on project timeline
• Any material lead-time implications

Verbal requests for changes are not binding until documented and signed. We will not perform out-of-scope work without a signed change order, and clients are not obligated to pay for work performed without a signed change order.

6Client Responsibilities

To ensure smooth project delivery, clients agree to:

• Provide timely access to the work area during scheduled work hours (Monday–Friday, 8:00 AM–4:30 PM)
• Secure pets and clear personal belongings from the work area before construction begins
• Respond to requests for material selections, design decisions, or approvals within 5 business days
• Disclose any known structural, moisture, electrical, or code issues in advance
• Maintain homeowner's insurance coverage during the project
• Ensure utilities (water, electricity, gas) remain connected during construction
• Follow reasonable safety instructions from crew members on site

Delays caused by client inaction (e.g., delayed material selections, restricted site access) may result in schedule extensions and additional costs, which will be documented in a change order.

7Warranty

BrightForge provides the following warranties on completed work:

5-Year Workmanship Warranty

All labor performed by BrightForge is warranted against defects in workmanship for 5 years from the date of substantial completion. This warranty covers installation errors, water infiltration from improperly installed waterproofing, and structural failures of our assemblies.

Manufacturer Warranties

All materials and appliances carry their manufacturers' warranties, which transfer directly to you. Typical manufacturer warranties range from 10 years to lifetime on products like cabinetry, countertops, plumbing fixtures, and appliances.

Warranty Exclusions

The workmanship warranty does not cover:

• Normal wear and tear or cosmetic changes expected over time
• Damage caused by misuse, neglect, or unauthorized modifications by the client or third parties
• Damage caused by acts of nature, water intrusion from external sources, foundation movement, or structural settling of the home
• Damage caused by failure of existing systems we did not install or modify
• Products supplied by the client

How to Submit a Warranty Claim

Contact us at (248) 980-1507 or [email protected]. We will schedule an inspection within 5 business days. Valid claims are repaired at no cost to you.

8Cancellation & Refunds

Before Construction Begins

You may cancel your contract at any time before demolition begins. If you cancel:

• You will receive a full refund of any deposit minus costs we have already incurred (permits, materials ordered, design work completed)
• Custom-ordered materials (cabinetry, stone, specialty items) that have already been ordered cannot be refunded once fabrication has started
• Design fees already billed for completed renderings are non-refundable

After Construction Begins

Once demolition has started, cancellation requires written notice. Final billing will reflect all work performed and materials installed up to the cancellation date, plus any non-cancellable material orders.

Michigan 3-Day Right of Rescission

If your contract was signed in your home, you have 3 business days to cancel without penalty under Michigan's Home Solicitation Sales Act. Notice of cancellation must be provided in writing to our Macomb office.

9Intellectual Property

All content on this Site — including text, images, logos, graphics, 3D renderings, and design concepts — is owned by BrightForge or licensed to us and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission. Design renderings and material specifications we create for your project are licensed to you for personal, non-commercial use related to your specific project.

10Dispute Resolution

If a dispute arises relating to these Terms or our services, the parties agree to resolve it as follows:

1. Direct negotiation: Contact our Client Experience Manager, who will respond within 5 business days to discuss resolution.
2. Mediation: If direct negotiation fails, both parties agree to participate in good-faith mediation with a mutually agreed neutral mediator.
3. Binding arbitration: If mediation does not resolve the dispute, both parties agree to submit to binding arbitration in Macomb County, Michigan, in accordance with the rules of the American Arbitration Association.

Nothing in this section prevents either party from seeking emergency injunctive relief in court when necessary.

11Limitation of Liability

To the fullest extent permitted by law, BrightForge's total liability arising out of or relating to any project or these Terms shall not exceed the total amount paid by you for the specific services giving rise to the claim.

In no event shall BrightForge be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of use, or business interruption, even if advised of the possibility of such damages.

This limitation does not apply to liability arising from gross negligence, willful misconduct, fraud, or any matter for which liability cannot be limited by law.

12Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Macomb County, Michigan, and both parties consent to personal jurisdiction in those courts.

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
